Terms of Service

TraderAI is a self-service software platform providing AI-assisted chart analysis, market data visualization, trade journaling, backtesting, risk-calculation tools, and educational content. TraderAI is a technology provider only: we are not a bank, broker, dealer, exchange, investment advisor, or portfolio manager; we are not licensed or registered with any financial regulator; and no fiduciary, advisory, or client relationship is created by your use of the Service. The Service does not execute trades, hold customer funds, or connect to your brokerage accounts.

You must be at least 18 years old (or the age of majority in your jurisdiction, if higher) and legally capable of entering into a binding contract. You may not use the Service if you are located in, or a resident of, a jurisdiction where use of the Service is prohibited, or if you are subject to trade sanctions or listed on any restricted-party list. You are solely responsible for ensuring that your use of the Service - including any trading activity you undertake - complies with all laws applicable to you, including the laws of Vietnam and of your country of residence.

You agree to provide accurate, current, and complete registration information and to keep it updated. You are responsible for safeguarding your credentials and for all activity under your account. Accounts are personal: you may not share, sell, rent, or transfer an account, and you may not register multiple accounts to obtain additional free usage. Notify us immediately of any unauthorized use of your account. We may refuse registration, or suspend or terminate accounts, where we reasonably suspect fraud, abuse, or a breach of these Terms.

Paid subscriptions are billed in advance and renew automatically (monthly or yearly) until cancelled. By purchasing, you authorize us and our payment processors - which may act as merchant of record for the transaction - to charge your selected payment method for all applicable fees and taxes. Prices are stated in US Dollars unless indicated otherwise and may change with reasonable prior notice; changes apply from your next billing period. You are responsible for any taxes, bank fees, or currency-conversion charges not collected by us. Initiating a chargeback instead of contacting support first may result in suspension of your account while the dispute is investigated.

AI usage on every plan is subject to the daily and monthly fair-use limits published on the pricing page; we may enforce these limits technically. Prepaid top-up credits and promotional credits are licences to use the Service: they have no monetary value and are non-transferable and non-redeemable for cash. "Lifetime" plans grant access for the operating life of the Service, subject to these Terms and fair-use limits - they are not a guarantee that the Service will exist forever, nor a grant of unlimited usage. If we permanently discontinue the Service within thirty-six (36) months of your lifetime purchase for reasons other than your breach, we will refund a pro-rata portion of the price you paid, calculated over that 36-month reference period. Licence codes purchased through partner marketplaces are additionally governed by the marketplace's own terms and refund policy; codes that are refunded, resold in breach of partner terms, generated fraudulently, or obtained through unauthorised channels may be revoked together with any benefits they granted.

You may cancel your subscription at any time in your account settings or by contacting support; your access continues until the end of the paid period and no further renewals are charged. Our full refund terms, including the cooling-off rights described below, are set out in our Refund Policy, which forms part of these Terms. If you are a consumer in the EU, the UK, or another jurisdiction granting a statutory cooling-off right, you have fourteen (14) days from purchase to withdraw without giving a reason. Where you ask us to begin providing the Service immediately during that period, you expressly request immediate performance and acknowledge that you lose the withdrawal right once the Service has been fully performed; if performance has only begun, you owe an amount proportionate to what was supplied before you withdrew. Outside those statutory rights, fees already paid - including partial periods and unused credits - are non-refundable, and any goodwill refund is at our sole discretion. Purchases made through a merchant of record or a marketplace are additionally subject to that provider's refund policy. Nothing in this section limits a remedy you have by law where the Service is faulty or not as described.

All output of the Service - including AI chart analyses, auto-drawn levels, trade ideas, volatility forecasts, pattern statistics, chat responses, backtest results, blog articles, and educational content - is general information generated by software. It is not investment advice, not a personal recommendation, and not an offer or solicitation to buy or sell any financial instrument. AI output is probabilistic and can be incomplete, outdated, or simply wrong. You must independently verify any information before acting on it and, where appropriate, consult a licensed financial professional. You retain sole responsibility for every trading and investment decision you make, and we accept no responsibility for decisions made in reliance on the Service.

Market data, prices, news, economic-calendar events, and derivatives metrics displayed on the Service are supplied by third-party sources on an "as available" basis. Data may be delayed, incomplete, inaccurate, or interrupted, and must not be relied upon for order execution or as the sole basis for any decision. Third-party services linked to or embedded in the Service (including payment providers, data providers, and social platforms) are governed by their own terms and privacy policies, and we are not responsible for their content or performance.

Trading foreign exchange, cryptocurrencies, derivatives, stocks, and other financial instruments carries a high level of risk - including leverage risk, extreme volatility, and the possible loss of your entire capital - and is not suitable for everyone. Past performance does not guarantee future results. Backtests, strategy-optimizer output, pattern win-rate statistics, and paper-trading results are hypothetical or simulated: they are prepared with the benefit of hindsight and do not reflect real order execution, slippage, liquidity, fees, or the psychological pressure of live trading. No representation is made that any account will or is likely to achieve results similar to those shown.

The Service - including its software, models, prompts, design, branding, databases, and content we create - is owned by us and our licensors and is protected by intellectual-property laws. You receive a limited, revocable, non-exclusive, non-transferable license to use the Service for your own personal or internal business purposes. Except as permitted by mandatory law, you may not copy, modify, distribute, sell, sublicense, reverse-engineer, or create derivative works from the Service. If you send us feedback or suggestions, we may use them without restriction or compensation.

You retain ownership of the content you upload, such as chart screenshots and journal data. You grant us a worldwide, non-exclusive, royalty-free license to host, process, transmit to our service providers (including AI infrastructure providers), and display that content solely to operate, secure, and improve the Service. You warrant that you hold all necessary rights to your content and that it does not violate any law or third-party right. We may remove content or refuse processing at our reasonable discretion, and we are not obliged to store or back up user content beyond what the Service provides.

You must not: (a) use the Service for any unlawful purpose, including market manipulation, insider trading, or money laundering; (b) probe, disrupt, overload, or attempt to bypass security measures, rate limits, or usage quotas; (c) scrape, harvest, or bulk-export data or content without our written consent; (d) access the Service by automated means other than documented interfaces; (e) resell, sublicense, or make the Service available to third parties as a service bureau; (f) use output of the Service to develop or train a competing product or model; (g) create multiple or fake accounts or abuse promotions, referral, or credit systems; or (h) upload malicious code or content that is illegal or infringing. We may throttle, suspend, or terminate access that we reasonably determine violates this section and forfeit credits or benefits obtained through the violation.

If you join our affiliate program, commissions accrue and are paid under the program conditions published on the affiliate page (rates, attribution window, hold period, and minimum payout). Self-referrals, incentivized or misleading promotion, spam, bidding on our brand keywords, cookie stuffing, and refunded or fraudulent transactions do not qualify for commission; we may withhold or reverse commissions arising from such activity and remove participants who breach these rules. We may modify or discontinue the program with prospective effect.

We aim for high availability, but the Service is provided without uptime guarantees; maintenance, third-party outages, and events beyond our control may interrupt it. We continuously develop the Service and may add, change, or remove features at any time, and may discontinue the Service upon reasonable notice. Features labelled beta or experimental are provided strictly as-is, may change or be removed without notice, and are excluded from any commitments made elsewhere in these Terms.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, NON-INFRINGEMENT, AND UNINTERRUPTED OR ERROR-FREE OPERATION. Some jurisdictions do not allow the exclusion of certain warranties, so parts of this section may not apply to you.

To the maximum extent permitted by law: (a) we are not liable for trading or investment losses, loss of profits, revenue, data, or goodwill, or for any indirect, incidental, special, consequential, punitive, or exemplary damages; and (b) our total aggregate liability for all claims arising out of or relating to the Service is limited to the greater of the amounts you paid us in the twelve (12) months before the event giving rise to the claim, or USD 500. These limits apply only to the extent permitted by the law that governs your relationship with us. Nothing in these Terms excludes or limits liability that cannot lawfully be excluded - including liability for fraud or fraudulent misrepresentation, for wilful misconduct or gross negligence, for death or personal injury caused by negligence, for breach of statutory conformity or product liability obligations, or any other liability or mandatory statutory right that applicable consumer law reserves to you. If any part of this section is held unenforceable, it applies with the narrowest modification needed to make it enforceable and the remainder stays in force.

To the extent permitted by applicable law, you will indemnify and hold harmless TraderAI and its owners, employees, and agents from and against claims, damages, liabilities, and reasonable expenses (including legal fees) arising from: your content; your use or misuse of the Service; your violation of these Terms; or your violation of any law or third-party right. This obligation does not apply to the extent a claim results from our own breach of these Terms or our own misconduct.

These Terms apply for as long as you use the Service. You may stop using the Service and delete your account at any time. We may suspend or terminate your access - with immediate effect in serious cases - if you materially breach these Terms, if we are required to do so by law, if your use creates security, legal, or abuse risks, or if the Service is discontinued. Upon termination your license to use the Service ends, and credits or subscription benefits are forfeited where termination results from your breach. Sections that by their nature should survive - including intellectual property, disclaimers, liability limits, indemnification, and dispute-resolution provisions - survive termination.

We may update these Terms from time to time. For material changes we will give reasonable advance notice by email or an in-product notice. Changes take effect on the stated effective date; if you do not agree, you may cancel and stop using the Service before that date - continued use after the effective date constitutes acceptance. The current version is always available on this page.

Informal resolution first: before bringing a formal claim, you agree to contact us and attempt in good faith to resolve the dispute within thirty (30) days. If you use the Service as a CONSUMER: these Terms are governed by the laws of the Socialist Republic of Vietnam, but this choice of law never deprives you of the protection of the mandatory consumer-protection rules of the country where you habitually reside, and those rules prevail over these Terms wherever they conflict. You may bring proceedings in the courts of your country of residence, and you may use any out-of-court complaint or redress mechanism available to you there. If you use the Service as a BUSINESS or in a professional capacity: these Terms are governed by the laws of the Socialist Republic of Vietnam, excluding its conflict-of-law rules and the UN Convention on Contracts for the International Sale of Goods, and the competent courts of Vietnam have exclusive jurisdiction. Either party may seek injunctive relief for intellectual-property or confidentiality breaches in any competent court. To the extent permitted by the law that applies to you, claims must be brought on an individual basis rather than as a class or representative action, and within twelve (12) months after the claim arose; where that limitation or waiver is not permitted - including for consumers in jurisdictions that prohibit it - it does not apply to you and the remainder of this section continues in force.

If any provision of these Terms is held invalid, the remainder stays in effect and the invalid provision is deemed replaced by a valid one that best reflects its intent. Our failure to enforce a provision is not a waiver of it. You may not assign these Terms; we may assign them in connection with a merger, acquisition, or sale of assets. Neither party is liable for delay or failure caused by events beyond its reasonable control (force majeure). You consent to receive contracts, notices, and other communications from us electronically. These Terms, together with the Privacy Policy and any plan-specific conditions shown at purchase, constitute the entire agreement between you and us regarding the Service.

We use a small number of cookies and similar technologies. STRICTLY NECESSARY cookies keep you signed in, protect the Service against abuse, and remember choices such as language and theme; they are required for the Service to function and cannot be switched off from within the Service. FUNCTIONAL storage (including browser localStorage) remembers your chart layouts, drawings, and preferences on your own device. ANALYTICS AND ADVERTISING identifiers - including Google click identifiers and affiliate referral codes - help us measure sign-ups and advertising conversions and credit partners correctly. You can review and delete cookies at any time in your browser settings, use your browser's private or "do not track" modes, and opt out of personalised advertising with the relevant provider; blocking strictly necessary cookies will prevent sign-in and core features from working. Our Cookie Policy lists each category, its purpose, and its retention period, and the Privacy Policy explains the legal basis on which we rely.

We respect intellectual-property rights and expect our users to do the same. If you believe content on the Service infringes your copyright or other right, send a notice to [email protected] with the subject "Legal" containing: identification of the protected work; identification and location (URL) of the material complained of; your contact details; a statement that you believe in good faith that the use is not authorised by the rights holder, its agent, or the law; a statement that the information in your notice is accurate; and your physical or electronic signature, made under penalty of perjury where applicable. We will review valid notices promptly and may remove or disable access to the material. If your material was removed and you believe this was a mistake or misidentification, you may send a counter-notice to the same address with the equivalent information; we may restore the material unless the complainant initiates legal proceedings. We may suspend or terminate accounts of repeat infringers. Knowingly submitting a false notice may expose you to liability for damages.

If you are unhappy with the Service, contact [email protected] with the subject "Complaint". We aim to acknowledge complaints within five (5) business days and to resolve them within thirty (30) days. If you are a consumer resident in the European Union you may also use the European Commission's online dispute resolution facilities and the consumer-protection or alternative-dispute-resolution bodies available in your country; consumers elsewhere may use the equivalent bodies in their jurisdiction. We are not obliged to participate in proceedings before a consumer arbitration board, but we will consider any request in good faith. Using a complaints or ADR route never removes your right to go to court.

You represent that you are not located in, resident in, or organised under the laws of a country or territory subject to comprehensive trade sanctions, and that you are not listed on, or owned or controlled by a party listed on, any applicable restricted-party or sanctions list. You may not access or use the Service, or allow it to be used, in breach of applicable export-control, sanctions, or anti-money-laundering laws. We may suspend or terminate access, block transactions, and make any report required by law where we reasonably believe this section has been or would be breached.

The Service is operated by TraderAI, the operator of traderai.cloud, established in the Socialist Republic of Vietnam. Contact: [email protected]. Payments may be collected by a third-party merchant of record (such as Lemon Squeezy), which is then the seller of record for that transaction and issues the invoice; the merchant of record is identified at checkout and in your receipt. These Terms are concluded in English. We do not adhere to any additional industry code of conduct beyond the obligations stated here and imposed by applicable law. The contract is concluded electronically when we confirm your registration or order; you can review your orders at any time in your account.
